Terms and Conditions
Contract terms for our recruiting services
1. Scope of Application
These Terms and Conditions apply to all contracts between HireDACH (hereinafter "Contractor") and the Client for recruitment and HR services. Deviating conditions of the Client will not be recognized unless the Contractor expressly agrees to their validity in writing.
2. Service Description
2.1 Recruitment
The Contractor places suitable candidates with the Client for open positions. Placement is based on a requirements profile created by the Client and confirmed by the Contractor.
2.2 HR Services
In addition to recruitment, the Contractor may provide the following services:
- HR administration and document management
- Onboarding and offboarding support
- Employer branding and job postings
- HR consulting and process optimization
2.3 30-Day Guarantee
The Contractor guarantees the presentation of qualified candidates within 30 days of order placement. If no suitable candidate can be presented within this period, the service fee will be waived.
3. Compensation and Payment Terms
3.1 Compensation Models
Compensation depends on the agreed package:
- Starter: One-time service fee upon successful placement
- Growth: Monthly fee plus success-based component
- Enterprise: Individual agreement
3.2 Due Date
Invoices are payable within 14 days of invoice date without deduction. For success-based compensation, the invoice is issued after the placed candidate signs the employment contract.
3.3 Default
In the event of late payment, the Contractor is entitled to charge default interest at a rate of 9 percentage points above the base interest rate.
4. Replacement Guarantee
If a placed candidate leaves the Client's company during the probationary period (maximum 6 months), the Contractor will provide a free replacement. This does not apply if the termination originates from the Client or is based on circumstances attributable to the Client.
5. Client Obligations
The Client agrees to:
- Provide complete and truthful information regarding the requirements profile
- Give the Contractor timely feedback on presented candidates
- Not contact candidates directly without the Contractor's consent
- Inform the Contractor immediately of any completed hiring
- Not use placed candidates for positions other than those agreed upon
6. Confidentiality
Both parties agree to treat all confidential information received during cooperation as strictly confidential and not to disclose it to third parties. This obligation continues after termination of the contractual relationship.
7. Data Protection
The processing of personal data is carried out in accordance with the General Data Protection Regulation (GDPR) and the Federal Data Protection Act (BDSG). Details are set out in our Privacy Policy.
8. Liability
8.1 Limitation of Liability
The Contractor is only liable for damages based on intentional or grossly negligent conduct. Liability for slight negligence is excluded unless essential contractual obligations are breached.
8.2 No Guarantee of Hiring
The Contractor does not guarantee that a presented candidate will actually be hired or will meet the Client's expectations. The hiring decision rests solely with the Client.
9. Term and Termination
9.1 Contract Duration
Individual orders end upon successful placement or after 90 days without result. Framework agreements are concluded for an indefinite period and can be terminated with 30 days' notice at the end of the month.
9.2 Extraordinary Termination
The right to extraordinary termination for good cause remains unaffected.
10. Final Provisions
10.1 Written Form
Amendments and additions to these Terms and Conditions must be in writing. This also applies to the waiver of this written form requirement.
10.2 Severability Clause
Should individual provisions of these Terms and Conditions be or become invalid, the validity of the remaining provisions shall remain unaffected. The invalid provision shall be replaced by a valid provision that comes closest to the economic purpose.
10.3 Applicable Law and Jurisdiction
The law of the Federal Republic of Germany applies. The place of jurisdiction for all disputes arising from the contractual relationship is the Contractor's registered office, provided the Client is a merchant, legal entity under public law, or special fund under public law.
